Policies and Conditions of Carbotecnia

At Carbotecnia, we are committed to maintaining a relationship of transparency, trust, and responsibility with our customers, suppliers, and business partners. Our policies have been established to guarantee a clear, effective, and mutually beneficial purchasing experience. They cover essential aspects such as pricing, terms of sale, cancellations, shipping, claims, returns, warranties, and payment methods. These guidelines reflect our commitment to excellence in service and seek to establish clear expectations for both parties, fostering an environment of trust and collaboration.

Through our policies, we also promote respect for commercial agreements and ensure operational continuity, enabling a structured and efficient procurement process. We invite you to review and familiarize yourself with each section for an informed interaction aligned with our corporate values.


1. PRICES AND CONDITIONS OF SALE

1.1 Quoted prices

  • Quoted prices are EXW (Ex Works, delivered at the factory).

  • Prices, specifications, and product data are subject to change without prior notice.

  • Carbotecnia reserves the right to cancel any negotiation or suspend delivery of product if the customer has not paid, is late in payments, or fails to meet its obligations.

1.2 Currency and exchange rate

  • Prices may be stated in local currency or in U.S. dollars, as specified in the written quotation.

  • Products quoted in dollars must be paid in dollars, or in pesos at the exchange rate published on www.carbotecnia.info.

  • If our website does not display the current exchange rate, the Citibanamex selling rate on the payment date will be used as a reference.

1.3 Taxes and additional services

  • Prices do not include VAT; this tax will be added on the invoice.

  • Installation, training, consulting, and commissioning are not included in the product price and will be billed separately.

  • For special-manufacture products or equipment, the customer must pay a deposit as determined by Carbotecnia and accept the specific terms indicated in the quotation.


2. PAYMENT METHODS, CREDIT, AND COLLECTION

2.1 Accepted payment methods

  • Cash (paid directly at the company) up to MXN $10,000.

  • Credit or debit card (paid directly at the company).

  • Stripe (credit or debit card), with a 4% commission.

  • Mercado Pago (Oxxo and 7-Eleven), with a 4% commission; the customer must request the barcode from the seller (valid for 4 days).

  • Bank deposits or electronic transfers (in national or foreign currency).

  • After payment is made, the customer must send the proof of payment to [email protected].

2.2 Credit and collection

  • All purchases must be paid in cash, unless the customer has an active credit line with no outstanding debts.

  • To obtain a credit line, the customer must first make three cash purchases and follow the process described in the “Credit and Collection Policies.”

  • Customers with overdue payments will not receive merchandise until the Credit and Collection Department authorizes it, based on a written commitment from the customer.


3. SHIPPING AND DELIVERY

3.1 Order processing

  • Orders will be processed once Carbotecnia receives proof of payment at [email protected].

  • If the customer has authorized credit, orders will be processed upon receipt of the purchase order or purchase confirmation, provided there is no outstanding balance on the credit line.

3.2 Lead times and responsibilities

  • Products in stock: will be shipped no later than two business days after payment is received.

  • Special-manufacture or out-of-stock orders: Carbotecnia will inform the customer of the estimated shipping time.

  • Carbotecnia is not responsible for delays outside its control (supplier delays, carrier delays, material shortages, strikes, natural events, etc.).

3.3 Shipping costs and method

  • The customer will pay shipping costs and may choose the carrier or courier of their preference, unless otherwise specified.

  • If the customer wants the carrier to assume full responsibility for the declared value (including acts of God or force majeure), an additional charge equivalent to the insurance premium must be agreed upon.

  • Once the order is handed over to the carrier, delivery responsibility lies with that carrier; the customer may purchase additional insurance.

  • Carbotecnia will inform the customer of the tracking number by electronic means.

3.4 Receipt and inspection

  • Merchandise will be delivered to the address provided, to whoever is present and shows official identification.

    • If there is no one at the delivery address:

      1. If Carbotecnia conducts the delivery, a charge will apply for the next delivery attempt.

      2. If a carrier or courier conducts the delivery, its policies will apply.

  • If Carbotecnia makes an error in the delivery data, all extra expenses will be borne by the company.

  • The customer must inspect the goods upon receipt, and in case of disagreement, note it on the delivery receipt and file a written claim with the carrier within 24 hours of receipt.

3.5 Imported products

  • Delivery dates for imported products are estimates and depend on factors outside Carbotecnia’s control.

  • Carbotecnia will make reasonable efforts to meet these estimates but assumes no responsibility for delays.


4. CANCELLATIONS AND RETURNS

4.1 Order cancellations

  • The customer must request cancellation of an order in writing, stating the reasons.

  • Cancellations are accepted for regularly stocked merchandise; they are not accepted for items that Carbotecnia must acquire, produce, or that pertain to special projects.

  • Carbotecnia reserves the right to authorize or reject any cancellation.

4.2 Charges for authorized cancellations

  • The greater of the following charges will apply:

    1. 20% of the invoiced value of the canceled merchandise.

    2. The total expenses incurred by Carbotecnia before and after the cancellation (including, without limitation, materials, labor, administrative processes, engineering, work in progress, and any other costs related to that order).

  • Refunds will be made in a timeframe that does not affect Carbotecnia’s liquidity, via a nominal check or bank transfer payable to the individual or entity that made the purchase.

4.3 Merchandise returns

  • The customer must request a return in writing, stating the reasons.

  • Returns are accepted for regularly stocked merchandise; they are not accepted for items that Carbotecnia must acquire, produce, or that pertain to special projects, except for cases attributable to Carbotecnia (defects, hidden defects, or shipping errors).

  • The customer will pay the shipping costs for the return, except when the return is due to Carbotecnia; in such cases, the shipping cost will be reimbursed.

  • Merchandise must be returned in its original packaging, including all accessories, manuals, and warranty policies.

  • For authorized returns, the greater of the following charges will apply:

    1. 20% of the invoiced value of the returned merchandise.

    2. The total expenses incurred by Carbotecnia before and after the return (including, without limitation, materials, labor, administrative processes, engineering, work in progress, and any other costs related to that order).

  • Refunds will be made within no more than 30 calendar days, unless otherwise agreed in writing, via a nominal check or electronic transfer to the registered purchaser.


5. CLAIMS AND WARRANTY

5.1 Claims for errors or inspection

  • The customer must notify Carbotecnia in writing of any error in the shipment’s contents (missing materials, incorrect parts, malfunction, failure to meet specifications, etc.) within 48 hours of the shipping guide date or signature of receipt.

  • The claim must contain sufficient detail for Carbotecnia to analyze it.

  • If Carbotecnia accepts the claim, it will take the necessary steps promptly to resolve the problem.

  • If Carbotecnia does not accept the claim, it will ask the customer to return the product(s) to verify the defect.

  • The customer will pay the shipping costs for the returned merchandise for verification.

  • Once Carbotecnia receives the product(s) and verifies the claim is valid, it will reimburse the return shipping cost and send replacement merchandise.

  • If Carbotecnia determines the reported defect does not warrant a return, it will notify the customer, who must pay for the shipping again.

5.2 Product warranty

  • Carbotecnia directly warrants products it manufactures against manufacturing defects.

  • The warranty for distributed products is the one provided by the manufacturer.

  • The warranty is valid only if the customer demonstrates that the product was used in accordance with its intended specifications.

  • The warranty applies only to Carbotecnia’s direct customers and not to third parties.

  • No employee, agent, or intermediary is authorized to grant warranties on behalf of Carbotecnia.

  • For returns approved under warranty, the customer must ship the product (freight paid) to:
    Calle B 2105 Interior A, Colonia El Tigre, CP 45134, Zapopan, Jalisco, México.

  • Upon receipt, Carbotecnia will inspect the product; if it meets warranty conditions, it will repair or replace it and reimburse shipping costs.

  • The following are automatically excluded from warranty:

    • Glassware (bulbs, quartz) used in ultraviolet light systems.

    • All electrical components of systems (due to potential voltage fluctuations).

  • The warranty is contingent on products being used and installed in accordance with the manufacturer’s technical specifications.

  • Improper installation, modification, or misuse of the product voids any warranty offered by Carbotecnia or its suppliers.


6. CUSTOMER SPECIFICATION LIABILITY

  • Carbotecnia is not responsible for errors in product selection, sizing, or specification when that information has been provided, validated, or approved by the customer.

  • It is recommended that the customer internally validate each quotation with its technical team before issuing any purchase order.

  • If the customer requests or configures a project by directly selecting products, equipment, or materials (in whole or in part), the customer assumes full responsibility for the system’s operation, installation, or final application, and releases Carbotecnia from any performance warranty arising from incorrect or inadequate technical selection.


7. DELIVERY AND PAYMENT SECURITY

  • To safeguard the interests of both parties, Carbotecnia may require a physical signature and official identification at the time of product delivery.

  • The customer’s banking information may be verified before processing refunds or returns.

  • Carbotecnia is not responsible for deposits made to unauthorized accounts or accounts provided by third parties.


8. PRIVACY AND DATA PROTECTION

  • Carbotecnia will use the personal data provided by the customer solely for commercial and administrative purposes related to business operations.

  • Information will be handled in accordance with the Federal Law on Protection of Personal Data Held by Private Parties.

  • The customer may exercise their ARCO rights (Access, Rectification, Cancellation, and Opposition) at any time through the established official channels.


9. ACCEPTANCE OF POLICIES AND LEGAL JURISDICTION

  • By submitting a purchase order or receiving and confirming a quotation, the customer tacitly accepts all of Carbotecnia’s commercial policies.

  • For interpretation and enforcement of these policies, both parties submit to the laws of the State of Jalisco, Mexico, expressly waiving any other jurisdiction that may apply by reason of domicile or otherwise.


10. COMPENSATION FOR DELAYS ATTRIBUTABLE TO CARBOTECNIA

  • If a delivery or service delay is clearly attributable to Carbotecnia and affects a documented customer project, both parties may agree on reasonable compensation (credit note, prioritized replacement, or proportional adjustment to the affected amount).

  • Such compensation will be subject to evaluation by the Commercial and Customer Service Department.
